Terms and Conditions ==================== THE COACH SAVINGS TEAM MEMBER AGREEMENT 1. The COACH SAVINGS - TEAM Membership This Agreement is your entire agreement with COACH SAVINGS and governs your use of the COACH SAVINGS Internet online service. To access THE COACH SAVINGS service you must accept the terms of this Agreement. To be a member or to use a trial for THE COACH SAVINGS, you must be at least 18 years old. We reserve the right to limit you to just one FREE trial per household. When you accept this Agreement and complete the COACH SAVINGS registration process for either a trial or a membership, you become a member to COACH SAVINGS . Each membership is to be used for one household. Illegal or improper use by someone to whom you have given permission to use your account puts your account at risk. So it is very important that you do not share your password with anyone. If your Membership is terminated for violating this Agreement, you will not be entitled to a refund. COACH SAVINGS's express permission will be necessary before you are allowed to use COACH SAVINGS again. It may be necessary for COACH SAVINGS to update or revise certain provisions of the Membership Agreement. By ordering a trial or membership to COACH SAVINGS and accepting the Membership Agreement you agree that COACH SAVINGS may change the terms of this Membership Agreement. If COACH SAVINGS makes material changes or revisions to the Member Agreement, we will provide notice to you thirty days in advance. Notification will be sent to the email address that you provide for your account username. It will be your responsibility to keep your email address valid at all times. (You may change your email address on your account by logging in with your original email address, going to the login page and to your Membership. If you don't agree to the changes proposed by COACH SAVINGS, or to any of the terms in this Member Agreement, your only remedy is to cancel your COACH SAVINGS membership. 2. CHARGES & BILLING. COACH SAVINGS reserves the right to change our fees or billing methods at any time and COACH SAVINGS will provide notice of any such change at least thirty days in advance in the same manner described above for changes to the Member Agreement. Any notifications of changes will be sent to the email address that you provide for your account. So it will be your responsibility to keep your email address up-dated and valid at all times. You can change your email address for your account by emailing Coach Savings at coach@coachsavings.com with your updated information. COACH SAVINGS also has the right to collect applicable taxes and impose premium surcharges for some areas of the service and these surcharges may apply even during your free trial. Once your account is activated into a membership with the appropriate charge, it will be renewed automatically, unless you cancel before the next billing date. There will be no refunds for late cancellations, or cancellations that are made after the billing date. If you don't like the changes in fees or billing methods, you may cancel your Member-ship at any time, but COACH SAVINGS will not refund any remaining portion of the monthly fee when you cancel your Member-ship. If you have joined COACH SAVINGS as a trial Member, you should understand that your free trial time must be used within 7 days of your initial sign-on and to avoid being charged a Member-ship fee, you must cancel your account before the 8th day. Accounts are activated into a membership with the appropriate charge on the 8th day on a quarterly basis. To unsubscribe your membership or cancel your subscription just send email to coach@coachsavings.com with the words unsubscribe and the email address you subscribed with. Proprietary Rights Bear in mind that some areas of COACH SAVINGS are "public," like blogs, or the comments/suggestion page, and other Members will have access to your posted material and might copy, modify or distribute it. By submitting or posting content there, you are representing that you are the owner of such material or have authorization to distribute it. Once you post content on COACH SAVINGS Blog or comment/suggestion page, you expressly grant COACH SAVINGS the complete right to use, reproduce, modify, distribute, etc. the content in any form, anywhere. Much of the content available on our service is owned by COACH SAVINGS, Inc., and is protected by copyrights, trademarks, and other intellectual property rights. It is very easy to copy things in cyberspace, but just because it is easy doesn't mean it is acceptable or legal. Any content that you upload or download while using the service must be authorized; this means you must have the legal right to upload or download the content. You must not copy, transmit, modify, distribute, show in public or in private or create any derivative works from any of the content you find on COACH SAVINGS, unless you have the legal right to. Making unauthorized copies of any content found on COACH SAVINGS can lead to the termination of your COACH SAVINGS account and may even subject you to further legal action beyond the termination of your Member-hip. 3. TERMINATIONS AND/OR CANCELLATIONS Either you or COACH SAVINGS may terminate or cancel your Member-ship at any time. You understand and agree that the cancellation of your account is your sole right and remedy with respect to any dispute with COACH SAVINGS. This includes, but is not limited to, any dispute related to, or arising out of: (1) any term of this Agreement or COACH SAVINGS's enforcement or application of this Agreement; (2) any policy or practice of COACH SAVINGS (3) the content available through COACH SAVINGS (4) your ability to access and/or use COACH SAVINGS; or (5) the amount or type of fees, surcharges, applicable taxes, billing methods, or any change to the fees, applicable taxes, surcharges or billing methods. You can cancel your Member-ship by logging in with your username and password. This will take you to the Player's Entrance page. From here, you will scroll down to the box that states "Changes to My Membership," then click on the "Modify My Membership or Cancel" link. To cancel your membership, uncheck all of the checkboxes and click update.If you do not have internet access, you must send your cancellation request via US Mail to: THE COACH SAVINGS, PO Box 2446, Santa Clarita, CA 91386-2446. If you cancel using the link on the "Player's Entrance" page, your cancellation will be effective immediately. If you send you cancellation by US mail, the Cancellation will take effect within 72 hours of receipt of your request, or 10 days from your postmark, whichever is greater. In the event that your account is terminated or canceled, no refund, including any Member-ship fees, will be granted; no online time or other credits will be credited to you or can be converted to cash or other form of reimbursement. Active THE COACH SAVINGS Members may not allow former Members or other agents whose Member-ships have been terminated to use their accounts. You agree that you will bear the risk, without any liability whatsoever to COACH SAVINGS, if the grocery store for which you intended to make use of list obtained through COACH SAVINGS, Inc. so changes its marketing policy so as to make the list ineffective; or the store closes. In either of these events, you are not to be entitled to any credit or refund, even pro rata, whether you are a trial member or a full member. In these events you may cancel or you may switch to another store in your area for which COACH SAVINGS provides a LIST. 4. RESPONSIBILITIES, LAW, AND LEGAL NOTICES COACH SAVINGS (COACH SAVINGS, INC.) makes no representation nor is responsible for making any representation regarding the worthiness, quality, safety, effectiveness, durability, design, manufacture, distribution, sales or use of any product stated on the list or otherwise. COACH SAVINGS is under no obligation nor duty to provide anyone any information including but not limited to, governmental, company or media reports, stories or recalls, concerning the safety, worthiness, quality, safety, effectiveness, durability, design, manufacture, distribution, sales or use of any product stated on the list or otherwise. COACH SAVINGS shall not be liable to anyone with regard to any claim or action, in law or equity, for injuries or other damages relating to the safety, worthiness, quality, safety, effectiveness, durability, design, manufacture, distribution, sales or use of any product stated on the list or otherwise. The Membership Agreement represents your entire agreement with COACH SAVINGS. You agree that this Membership Agreement is not intended to confer and does not confer any rights or remedies upon any person other than the parties to this Agreement. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The laws of the State of Colorado, excluding its conflicts-of-law rules, govern this Agreement and your Membership. As noted above, Member conduct may be subject to other local, state, national, and international laws. You expressly agree that exclusive jurisdiction for any claim or dispute with COACH SAVINGS or relating in any way to your Membership or your use of COACH SAVINGS resides in the courts of Colorado and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of Colorado in connection with any such dispute including any claim involving COACH SAVINGS or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers. We provide you with the opportunity to update or correct your contact and billing information that we have on file. Just as you want to make sure that information COACH SAVINGS has about you is accurate, we want to keep only the most up-to-date information about your account. Therefore, whenever you believe that your contact or billing information needs updating, you may log in and go to the registration page to change your billing info or cancel. To change your email address/Username, or your password, you need to log in to the Login page. LIMITATION OF LIABILITY UNDER NO EVENT AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, SHALL COACH SAVINGS OR ITS SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR ANY LOST PROFITS, LOST SAVINGS, LOSS OF DATA, COSTS, FEES OR EXPENSES OF ANY KIND OR NATURE ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS, THIS SITE, OR THE USE OR INABILITY TO USE THE MATERIALS, OR ANY DATA SUPPLIED THEREWITH, EVEN IF COACH SAVINGS OR AN COACH SAVINGS REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the exclusion or limitation of incidental, consequential or special damages, so the above limitation or exclusion may not apply to you.
